Terms and Conditions

Important Notice: This document contains legally binding terms. By applying to or accepting funding from Writers Fund, you agree to be bound by these terms. Please read carefully and consult with legal counsel if necessary.

1. Definitions

"Company" means Writers Fund LTD, a limited company organized under applicable law.

"Writer" or "Recipient" means any individual or entity that applies for or receives funding from the Company.

"Investment" means the financial contribution provided by the Company to selected Writers.

"Work" means any written content, including but not limited to books, novels, comics, screenplays, and other literary works created by the Writer.

"Revenue" means all gross income derived from the Work, including but not limited to sales, licensing, adaptations, translations, subsidiary rights, and merchandising.

2. Investment Terms

2.1 Funding Amount

Selected Writers will receive a one-time investment of Ten Thousand Dollars ($10,000 USD), subject to execution of definitive investment documentation.

2.2 Investment Structure Options

Writers must choose one of the following investment structures:

  1. Revenue Share Option: Writer grants Company a fifteen percent (15%) share of all Revenue generated from the Work for the life of the intellectual property rights; or
  2. Equity Option: Writer grants Company a five percent (5%) equity stake in Writer's publishing business or intellectual property rights related to the Work.

2.3 Additional Support

Company may, at its sole discretion, provide additional funding for legal and publication expenses when Writer is ready to publish the Work.

3. Securities Disclosure

This investment constitutes a securities offering. All investments carry inherent risk, including the potential for total loss of capital. Past performance does not guarantee future results. This document and the Company's website do not constitute investment advice.

4. Application and Selection Process

4.1 Eligibility

Any individual or entity may apply. No specific credentials are required, but applicants must demonstrate legal capacity to enter into binding agreements.

4.2 Selection Criteria

Company reserves absolute discretion in selecting Writers based on criteria including but not limited to: quality of proposed Work, Writer's experience and capabilities, market potential, and alignment with Company's investment thesis.

4.3 No Guarantee of Funding

Submission of an application does not guarantee funding. Company reserves the right to reject any application without providing reasons.

5. Writer Obligations

5.1 Use of Funds

Investment funds must be used primarily for activities related to creating, completing, and publishing the Work. Writer shall provide reasonable documentation of fund usage upon Company's request.

5.2 Progress Reporting

Writer agrees to provide quarterly progress reports on the Work's development and any commercial activities related thereto.

5.3 Intellectual Property

Writer represents and warrants that they own or will own all intellectual property rights in the Work, free of encumbrances that would materially impair Company's investment returns.

5.4 No Competing Funding

Without Company's prior written consent, Writer shall not seek or accept funding from other sources for the same Work that would materially dilute Company's investment returns.

6. Payment and Accounting

6.1 Revenue Reporting

Writers choosing the Revenue Share Option must provide detailed quarterly revenue reports and remit Company's share within thirty (30) days of the end of each quarter.

6.2 Audit Rights

Company reserves the right to audit Writer's books and records related to the Work with reasonable notice.

6.3 Payment Terms

All payments to Company shall be made in US Dollars. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

7. Representations and Warranties

Writer represents and warrants that:

  1. They have full legal capacity to enter into this agreement;
  2. All information provided in their application is true and accurate;
  3. They own or will own clear title to the Work;
  4. The Work does not and will not infringe on any third-party rights;
  5. They will comply with all applicable laws in creating and distributing the Work.

8. Limitation of Liability

COMPANY'S TOTAL LIABILITY TO WRITER SHALL NOT EXCEED THE AMOUNT OF INVESTMENT PROVIDED. COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

9. Termination

9.1 Termination for Cause

Company may terminate this agreement immediately if Writer materially breaches these terms, engages in fraudulent conduct, or becomes insolvent.

9.2 Effect of Termination

Upon termination, Writer's obligation to pay Company's revenue share or honor equity arrangements shall survive, but no additional funding obligations shall accrue to Company.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These terms shall be governed by and construed in accordance with the laws of [JURISDICTION TO BE SPECIFIED], without regard to conflict of laws principles.

10.2 Dispute Resolution

Any disputes arising under these terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in [LOCATION TO BE SPECIFIED].

11. Modification and Amendment

Company reserves the right to modify these terms at any time with thirty (30) days written notice to existing Writers. Continued participation in the program constitutes acceptance of modified terms. New applicants will be subject to the most current version of these terms.

12. Severability

If any provision of these terms is found to be unenforceable, the remainder of the terms shall remain in full force and effect.

13. Entire Agreement

These terms, together with any executed investment documentation, constitute the entire agreement between the parties and supersede all prior negotiations, representations, and agreements relating to the subject matter hereof.
